SEC Adopts New Rules on Rule 144, Form S-3, And Smaller Public Company Disclosure

Over the past few weeks, the SEC has adopted new rules that will significantly decrease the regulatory burden for smaller public companies.  New rules will simplify compliance with SEC Rules 144 and 145, expand the availability of the Form S-3 “short-form” registration statement, and expand the availability of “small business filer” disclosure.
