Experience
Mr. MacCormack’s practice includes representing lenders and borrowers in secured, structured and project financings; planning and structuring real estate acquisitions, sales, exchanges and leases; negotiating and documenting energy sales, power plant developments and utility industry financings; and providing general corporate and business advice to commercial ventures.

Representative Engagements
- Outside legal counsel to large energy company involved in the production, transmission and distribution of energy and other energy-related businesses, including regulated electric and natural gas utility operations in five western states.
- Lead team of lawyers and other professionals in the acquisition and development of 280MW merchant natural gas-fired combined-cycle power plant.
- Representation of commercial property owner in a delayed, multi-property, multi-party, tax-deferred exchange, including the development and leasing of replacement properties.
- Negotiation and documentation of engineering, procurement and construction contracts for electricity generation projects in Washington, Oregon, Idaho and Texas.
- Formation of a real estate investment vehicle for a large East Coast institutional investment advisor, and the continuing representation of the development entity involved in the acquisition, construction and operation of senior housing and healthcare properties throughout the West Coast.
- Acquisition and disposition of numerous energy-related businesses and facilities in all-cash, cash and equity, and preferred debt structures.
- Negotiation of a $150 million demand credit facility, in U.S. and Canadian dollars, to fund the operations of a national power marketer.
- Representation of a commercial plastics manufacturer in the acquisition, development and tax-exempt, private activity bond financing of a new industrial manufacturing site.
- Legal counsel to the energy trading and power generating affiliates of large regulated public utility.
- Representation of a leading Pacific Northwest bank in a multi-facility loan for the redevelopment of the downtown Seattle retail corridor.
- Development of collateralized loan documentation for a national banking association expanding its commercial lending operations to Washington State.
- Privatization of a federally-owned hydro-electric dam in Alaska, transferring operation and output of the facility to an investor owned utility, using the proceeds of a $100 million tax-exempt bond facility.
- Representation of the developer of a 20 story Class A office and residential development in downtown Seattle.
- Formation and representation of limited liability companies for numerous ventures, including businesses engaged in residential construction, the acquisition and development of intellectual property, the franchising of restaurants and retail services, and the ownership, operation and management of real estate and other investment assets.
- Representation of leading Pacific Northwest bank in the restructuring and sale of participation interests as part of the reorganization of the debt structure for a Class A office building.
- Utility outsourcing projects, involving electric, steam, compressed air and refrigerated ammonia utilities, for large international food processor with operations throughout the United States.
- Representation of a non-profit housing developer in the tax-exempt bond financing of low-income, multi-family housing projects.
- Representation of regional energy services provider in joint venture with Southern California gas and electric utility for the development and operation of customer specific gas and electric utilities.
