David Charapp re-joined the firm in 2008. He is a member of the Intellectual Property Transactions Practice Group, the Life Sciences Practice, and Corporate/VLG.
Mr. Charapp represents life sciences companies in a wide range of transactional and corporate matters. During his career in private practice and as Associate General Counsel with Santarus, Inc. and Kosan Biosciences Incorporated, Mr. Charapp has structured and negotiated numerous strategic collaborations, licenses, co-promotion agreements, manufacturing and supply agreements, distribution agreements, pre-clinical and clinical research agreements, agreements with managed care organizations and government payors, wholesaler agreements, public and private financing transactions, mergers, acquisitions and dispositions.
Mr. Charapp also has been responsible for compliance with the PhRMA Code, the federal anti-kickback statute, state reporting requirements and other state and federal laws and regulations regarding the promotion of pharmaceutical products, including reviewing marketing, promotional and training materials, providing compliance training for sales representatives and other commercial organization members and providing advice regarding educational grants, advisory board meetings and consulting arrangements.
